By accessing or using the website, platform, or services provided by ORBEM LLC ("ORBEM", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

ORBEM is an AI Venture Builder and Business Creation Platform that provides venture-building services, product development capabilities, strategic advisory, business intelligence, and access to an emerging investor network. Our services include but are not limited to:

• Venture evaluation and co-creation services
• AI product strategy and development
• Go-to-market support and commercialization
• Access to the ORBEM investor network
• Knowledge platform and business intelligence tools
• Partnership and expert matching services

ORBEM does not guarantee any specific outcome, return on investment, or business success. All services are provided on a best-efforts basis and subject to individual engagement agreements.

To use our services, you must be at least 18 years of age and have the legal capacity to enter into binding agreements. By using our services, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

When you submit a venture application, investment inquiry, partnership request, or any other form through our platform, you represent that all information provided is truthful and accurate. Submission does not guarantee a response, engagement, investment, or any commitment from ORBEM.

ORBEM reserves the right to accept or reject any application or inquiry at its sole discretion without obligation to provide a reason.

All content on the ORBEM website and platform — including text, graphics, logos, icons, images, and software — is the property of ORBEM or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works, publicly display, or otherwise exploit any content from our services without our prior written consent.

By submitting content through our platform (including venture descriptions, documents, or ideas), you grant ORBEM a non-exclusive, royalty-free license to use such content solely for the purpose of evaluating and, where applicable, executing your engagement with us.

Information shared with ORBEM through our platform or in connection with a specific engagement may be treated as confidential, subject to the terms of any applicable Non-Disclosure Agreement (NDA) or engagement letter. In the absence of a signed NDA, ORBEM does not assume confidentiality obligations for unsolicited submissions.

Nothing on the ORBEM website or platform constitutes investment advice, financial advice, legal advice, or any other form of professional advice. Information provided is for general informational purposes only.

ORBEM is not a registered investment advisor, broker-dealer, or securities dealer. Any reference to investment opportunities, investor networks, or fund structures is informational only and does not constitute an offer to buy or sell securities.

To the maximum extent permitted by law, ORBEM shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, our services — even if ORBEM has been advised of the possibility of such damages.

In no event shall our aggregate liability exceed the greater of (i) the amount you paid to ORBEM in the twelve months preceding the claim, or (ii) one hundred US dollars ($100).

Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.

You agree to indemnify, defend, and hold harmless ORBEM and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of your use of our services, your violation of these Terms, or your violation of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Any dispute arising from or related to these Terms or our services shall first be subject to good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date and, where appropriate, notifying users directly. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, the provisions of these Terms that by their nature should survive will continue to apply.
